NoraLite Terms of Service

Nora Comply Limited · Last updated 12 October 2026

1. About these terms

1.1 These Terms of Service (the Terms) form a contract between Nora Comply Limited and the business that buys a NoraLite subscription. They apply from 12 October 2026.

1.2 By ticking the box at sign-up, or by paying the fee, you agree to these Terms on behalf of your business. You confirm you have authority to do so.

1.3 NoraLite is for businesses only. You confirm you are buying in the course of a trade, business or profession and not as a consumer. Consumer cancellation rights therefore do not apply, but our own money-back promise in section 8 does.

1.4 The Data Processing Agreement (the DPA) forms part of these Terms. If they conflict, the DPA wins on personal data, and these Terms win on everything else. Our Privacy Policy explains how we use the personal data of account users; it is a notice, not part of this contract.

2. Who we are and key definitions

3. Your account

3.1 You must give accurate sign-up details and keep them up to date.

3.2 You are responsible for your Authorised Users, for keeping log-in details secure, and for everything done under your account. Tell us promptly at kathryn@noracomply.com if you suspect unauthorised access.

3.3 You must not share log-ins between people or let anyone outside your business use your account.

4. The service

4.1 NoraLite helps businesses that use AI tools (deployers under the AI Act) to understand and organise their obligations. It is not designed for businesses that build or sell AI systems (providers).

4.2 During the Subscription Term you may access and use NoraLite for your own internal business purposes. This right is non-exclusive and non-transferable.

4.3 NoraLite lets you:

  • select the AI tools and use cases your business runs from the Catalogue;
  • see the risk rating and the duties we have identified for each use;
  • record AI literacy training and keep training records for your staff;
  • produce reports and records for your own compliance work.

4.4 We may improve, change or remove features over time. We will not reduce the core features above during a paid Subscription Term without notice. If a change materially reduces them, you may cancel and receive a pro-rata refund under section 8.6.

5. How the Catalogue works

5.1 Each Catalogue entry contains answers we researched from the AI tool vendor's own published documentation, and a risk rating based on those answers and our reading of the AI Act.

5.2 Vendor documentation can be incomplete, out of date or wrong, and vendors change their products without notice. We do not verify how a tool is configured or used in your business.

5.3 The law is new and still developing. European Commission guidelines, standards and court or regulator decisions may change how a use should be rated. We update the Catalogue periodically but cannot guarantee it reflects every change at all times.

5.4 Some entries are marked pending vendor facts. These carry a cautious provisional rating until the vendor confirms a specific point. You should confirm that point with the vendor before relying on the rating.

5.5 You are responsible for checking that a Catalogue entry matches how your business actually uses the tool. If it does not, the rating and duties shown may not apply to you.

6. Not legal advice

6.1 NoraLite provides general information and tools. It does not provide legal advice. Nora Comply Limited is not a law firm, and no solicitor-client relationship is created by your use of NoraLite.

6.2 Ratings, duty lists, reports and other Output are general guidance based on the Catalogue and the law as we understand it. They are not an opinion on your particular circumstances.

6.3 You remain solely responsible for:

  • deciding how your business uses AI tools;
  • your own compliance with the AI Act, the GDPR and any other law;
  • the notices, assessments, records and other steps you take or do not take;
  • any decision you make based on the Output.

6.4 You should take independent legal advice before relying on the Output for any important decision, including whether to use, stop using or change how you use an AI tool.

6.5 Any explanation given by our support team, including in chat or by email, is also general information and not legal advice.

7. Fees and payment

7.1 The fee is €499 (or £429 if you pay in pounds sterling, or $579 if you pay in US dollars) per year for each subscription, plus VAT where applicable, payable in advance. If you are a business in another EU country and give us a valid VAT number, any VAT is handled under the reverse charge.

7.2 We take payment through Revolut. By paying, you also accept any terms Revolut applies to the payment. We do not store your full card details.

7.3 We may change the fee for future Subscription Terms. We will tell you at least 30 days before your renewal date. The new fee applies only from that renewal.

7.4 If a payment fails, we will ask you to update your payment details. If it is still unpaid 14 days after we ask, we may suspend your account until it is paid.

8. Renewal, cancellation and refunds

8.1 Automatic renewal. Your subscription renews for another 12 months at the end of each Subscription Term unless you cancel before the renewal date. We will email you a reminder at least 30 days before each renewal.

8.2 Cancelling. You can cancel at any time in your account settings or by emailing kathryn@noracomply.com. Cancelling stops the next renewal. You keep access until the end of the Subscription Term you have paid for.

8.3 14-day money-back guarantee. If you are not satisfied, you can ask for a full refund within 14 days of any payment, whether a first purchase or a renewal. No reason is needed. Email kathryn@noracomply.com from the account owner's or billing email address.

8.4 When we give a refund under section 8.3, your subscription ends and your access stops on the day we process the refund. We may refuse a second refund to the same business, or a refund where the guarantee is being used to obtain the service repeatedly without paying. Section 15.3 does not apply when a subscription ends because of a refund. You can ask us for an export of your Customer Data within 30 days.

8.5 No refunds after 14 days. Outside the money-back period, fees are non-refundable and we do not refund unused time, except as set out in section 8.6.

8.6 Pro-rata refunds. We will refund the fees for the unused part of your Subscription Term if:

  • we end your subscription without cause under section 15.2;
  • you end it because we have materially breached these Terms and not fixed the breach within 30 days of your notice;
  • you cancel under section 4.4 (a feature change) or section 16.2 (a change to these Terms);
  • we stop offering NoraLite;
  • you cancel because you object to a new sub-processor under section 6.3 of the DPA and we cannot resolve the objection.

8.7 Refunds are paid to the original payment method, normally within 14 days of our approval.

9. Acceptable use

You must not, and must not let anyone else:

  • copy, resell, publish or share the Catalogue, or large parts of it, outside your business;
  • use scraping tools, bots or bulk downloads to extract the Catalogue;
  • use NoraLite or its content to build a competing product;
  • reverse engineer NoraLite, except where the law allows it and cannot be excluded;
  • try to get round security or usage limits, or interfere with the service;
  • upload malware, or content that is unlawful or infringes anyone's rights;
  • upload special category personal data (for example health data) unless NoraLite has a feature designed for it.

10. Your data

10.1 You own your Customer Data. You give us the right to use it only to provide, secure and support NoraLite for you, and as the DPA allows.

10.2 When we handle personal data in your Customer Data, such as your staff's names and training records, you are the controller and we are your processor. The DPA sets out both parties' obligations.

10.3 You confirm you have a lawful basis to give us that personal data, and that you have told your staff as the GDPR requires.

10.4 We may use aggregated or anonymised data that does not identify you or any person, for example how often a Catalogue entry is selected, to improve NoraLite.

10.5 You can export your Customer Data at any time during the Subscription Term. After your subscription ends, we delete it as the DPA describes.

11. Intellectual property

11.1 We, or our licensors, own NoraLite, the Catalogue, our software and all related intellectual property. These Terms give you a licence to use them, not ownership.

11.2 You may use and copy the Output for your own internal business and compliance purposes, including sharing it with your advisers, auditors and regulators.

11.3 If you send us suggestions or feedback, we may use them freely without any obligation to you.

12. What we promise, and what we do not

12.1 We will provide NoraLite with reasonable skill and care, and in line with good industry practice.

12.2 We aim for NoraLite to be available at all times but do not guarantee it will be uninterrupted or error-free. We may carry out maintenance, ideally outside normal Irish business hours.

12.3 Apart from sections 12.1 and 12.2, NoraLite and the Output are provided "as is". To the extent the law allows, we exclude all other warranties and conditions, including any implied terms as to fitness for a particular purpose. In particular, we do not promise that:

  • the Catalogue is complete, accurate or up to date for every tool or use;
  • any rating is correct for your business;
  • using NoraLite will make you compliant with the AI Act or any other law, or prevent any investigation, fine or claim.

13. Limits on our liability

13.1 What we never limit. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that Irish law does not allow to be limited.

13.2 Losses we are not liable for. Subject to 13.1, we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for:

  • loss of profits, revenue, business, contracts, goodwill or anticipated savings;
  • loss or corruption of data, beyond restoring it from our latest backup;
  • any indirect or consequential loss;
  • any fine, penalty or sanction imposed on you by a regulator or court, or the cost of responding to an investigation;
  • any loss arising from your decisions, actions or omissions based on the Output, or from Catalogue information drawn from a vendor's documentation.

13.3 Overall cap. Subject to 13.1, our total liability to you for all claims arising out of or in connection with these Terms (including the DPA) in any 12-month period is limited to the total fees paid or payable by you in the 12 months before the event giving rise to the claim.

13.4 The cap in 13.3 does not apply to your obligation to pay fees.

13.5 You must bring any claim within 12 months of becoming aware of the facts giving rise to it, unless the law requires a longer period.

13.6 Each party must take reasonable steps to reduce any loss it suffers.

13.7 You agree these limits are fair and reasonable, given that the fee is low, NoraLite gives general information rather than legal advice, and you can obtain your own advice and insurance.

14. Suspension

We may suspend your account, wholly or partly, if you do not pay (section 7.4), if you breach section 9, or if we reasonably need to protect NoraLite, other customers or anyone's data. We will tell you why and restore access once the issue is fixed.

15. Ending the contract

15.1 Either party may end these Terms immediately by written notice if the other materially breaches them and does not fix the breach within 30 days of being asked, or becomes insolvent.

15.2 We may end your subscription for any reason on 60 days' notice, with a pro-rata refund under section 8.6.

15.3 When the contract ends, you can no longer add or change anything. For 30 days afterwards you can still sign in to view and download your Customer Data, or ask us at kathryn@noracomply.com for an export. After that we delete it as set out in the DPA.

15.4 Sections 6, 10.4, 11, 13, 15.3, 17 and 18 survive the end of the contract.

16. Changes to these Terms

16.1 We may update these Terms, for example to reflect changes in the law or in NoraLite. We will give you at least 30 days' notice by email of any material change.

16.2 If you do not accept a material change, you can cancel before it takes effect and receive a pro-rata refund under section 8.6. If you keep using NoraLite after that date, the new Terms apply.

17. Governing law and disputes

17.1 These Terms, and any dispute about them, are governed by the laws of Ireland.

17.2 The courts of Ireland have exclusive jurisdiction.

17.3 Before starting court proceedings, each party will first try in good faith to resolve the dispute by discussion between senior people for at least 30 days.

18. General

18.1 Whole agreement. These Terms and the DPA are the whole agreement between us about NoraLite. Neither party relies on any statement not set out in them. This does not limit liability for fraud.

18.2 Events outside our control. Neither party is liable for delay or failure caused by events beyond its reasonable control, such as a major outage at a hosting provider. This does not affect your duty to pay.

18.3 Transfer. You may not transfer these Terms without our written consent. We may transfer them to a company that takes over NoraLite, and will tell you if we do.

18.4 Subcontractors. We may use subcontractors to provide NoraLite. We remain responsible for them. Those that handle personal data are listed in the DPA.

18.5 Notices. We send notices to the account owner's email address. You send notices to kathryn@noracomply.com.

18.6 Severance. If a court finds part of these Terms unenforceable, the rest continues in force.

18.7 No waiver. A delay in enforcing a right does not waive it.

18.8 Third parties. Only you and we have rights under these Terms.

18.9 Language. These Terms are in English. Any translation is for convenience only.
